About these Terms

These Terms cover your use of the Pop Off website.

Pop Off is operated by Really Nice, based in Perugia, Italy.

You can contact us at legal@popoff.agency.

Working with us

Contacting us, submitting an enquiry or discussing a campaign does not create a client agreement, authorise a token launch or commit you to working with us.

Before we begin a campaign, we will agree the services, fees, permissions, responsibilities and exit arrangements in a separate written agreement. That agreement governs the campaign and takes priority over these website Terms if there is a conflict.

To become a client, you must be at least 18, legally able to enter into an agreement and authorised to act for anyone you represent. We assess whether we can support your location and intended audience before proceeding.

Fees and earnings

Our proposed campaign arrangement is a 50/50 split of the creator fees assigned to the campaign, with no upfront agency fee and no requirement to buy tokens. This is not a share of the token’s value, trading volume or all platform fees. Any separate professional or third-party costs must be agreed in advance.

Your client agreement will explain how fees are calculated and paid, any agreed deductions, and what happens when the arrangement ends. Earnings are not guaranteed, and you may earn nothing.

Information and risks

Website content is general information, not personalised investment, financial, legal or tax advice. Any individual legal or tax advice comes from the relevant qualified professional, not from our coordination or record-keeping services.

Memecoins are speculative. Buyers can lose all their money, and associating your name with a campaign can affect your reputation. We do not guarantee a token’s price, trading activity, campaign success or income. Please read our Risks & disclosures page before considering a campaign.

Your information and content

You must provide accurate information and have the necessary rights or permissions for any content you send us.

You retain your rights in your content. Sending us material allows us to review it and discuss your enquiry; it does not give us permission to launch or promote a token using your name, likeness or content. Campaign permissions must be agreed separately in writing.

Our website content and branding belong to us or our licensors. You must not use them in a way that infringes those rights or falsely suggests our endorsement.

Acceptable use

You must not use the website to break the law, impersonate someone, infringe another person’s rights, send malicious material or attempt unauthorised access to our systems.

You must not use our services for scams, misleading promotions, fabricated trading activity or market manipulation. We may restrict website access where reasonably necessary to address misuse, security threats or legal requirements.

Third-party services and wallet security

External websites, platforms and wallet providers have their own terms and privacy policies. We do not control their operation, availability or changes to their services. This does not remove any responsibilities we have under applicable law or your client agreement.

Never send us your passwords, wallet private keys or seed phrases.

Website availability and liability

We take reasonable care with the website, but cannot promise uninterrupted access or that every page will always be complete, current or error-free.

Nothing in these Terms excludes or limits liability for fraud, deliberate misconduct, gross negligence or anything that cannot legally be excluded or limited. Your mandatory consumer rights remain unaffected.

Privacy

Our Privacy notice explains how we collect, use and protect personal information.

Changes to these Terms

We may update these Terms to reflect changes to the website, our operations or legal requirements. We will publish the updated version here with a revised date and highlight material changes on the website.

Updates apply to future website use. They do not retrospectively change an existing client agreement.

Governing law and contact

These Terms are governed by Italian law, subject to any mandatory consumer protections that apply to you. Nothing in these Terms restricts rights you have under applicable law concerning where you may bring a claim.

For questions or complaints, email legal@popoff.agency.
